Terms of Service
These Terms of Service (“Terms”) govern your access to and use of TabEagle, including our website, mobile application, software, features, content, and related services. TabEagle is operated by TrueBird Global LLC (“TrueBird,” “we,” “us,” or “our”).
By creating an account, accessing TabEagle, or using our services, you agree to these Terms. If you do not agree, do not use TabEagle.
1. TabEagle Service
TabEagle is a software tool that helps independent business operators create invoices, share payment links, attach photos or supporting information, and communicate with customers about payment.
TabEagle is not a bank, money transmitter, escrow agent, debt collector, accountant, tax advisor, law firm, insurance provider, or payment card network. Payment processing is provided by third-party payment providers.
2. Eligibility
You must be at least 18 years old and legally able to enter into a binding agreement to use TabEagle. If you use TabEagle on behalf of a business, you represent that you have authority to bind that business to these Terms.
3. Accounts
You agree to provide accurate and complete account information and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You must notify us promptly if you believe your account has been compromised.
4. User Content
“User Content” means information, invoices, descriptions, photos, attachments, customer details, messages, notes, and other materials you enter, upload, send, or store using TabEagle.
You retain ownership of your User Content. You grant TrueBird a limited license to host, store, process, display, transmit, and use User Content as needed to provide, operate, secure, support, and improve TabEagle.
You represent that you have the rights and permissions needed to upload, send, and use your User Content through TabEagle.
5. Invoice and Customer Responsibilities
You are solely responsible for:
- The accuracy of invoices, amounts, descriptions, taxes, fees, and due dates;
- The goods or services you provide to your customers;
- Obtaining any necessary customer authorization;
- Ensuring that messages, invoices, photos, and payment requests are lawful and appropriate;
- Resolving disputes with your customers;
- Providing refunds, credits, corrections, or receipts when required;
- Maintaining your own business, tax, and accounting records.
TabEagle does not guarantee that any invoice will be paid.
6. Payments
TabEagle may allow you to create or share payment links through third-party payment providers such as Stripe.
Payment processing is subject to the applicable payment provider’s terms, conditions, underwriting, compliance review, identity verification, risk controls, reserves, holds, refunds, chargebacks, and dispute processes.
TrueBird is not responsible for payment provider decisions, declined transactions, delayed payouts, reserves, chargebacks, disputes, account limitations, or compliance reviews.
You are responsible for all fees, taxes, refunds, chargebacks, disputes, and customer claims related to your business and transactions, unless otherwise expressly stated in a separate written agreement.
7. Taxes
You are responsible for determining, collecting, reporting, and remitting any applicable taxes related to your goods, services, invoices, payments, and business operations. TabEagle does not provide tax advice.
8. Prohibited Uses
You may not use TabEagle to:
- Violate any law, regulation, contract, or third-party right;
- Send false, misleading, fraudulent, abusive, or deceptive invoices or payment requests;
- Impersonate another person or business;
- Upload unlawful, harmful, defamatory, infringing, or privacy-invasive content;
- Process payments for prohibited, restricted, illegal, or high-risk goods or services;
- Harass, spam, threaten, or abuse customers or others;
- Attempt to bypass security, rate limits, fraud controls, or payment provider requirements;
- Reverse engineer, scrape, copy, resell, or misuse the service;
- Interfere with the operation, security, or integrity of TabEagle.
We may suspend or terminate access if we believe your use creates legal, security, compliance, reputational, or operational risk.
9. Third-Party Services
TabEagle may integrate with third-party services, including payment processors, messaging providers, app stores, analytics providers, hosting providers, and communication tools.
Your use of third-party services may be governed by separate terms and privacy policies. TrueBird is not responsible for third-party services, outages, errors, fees, restrictions, or decisions.
10. App Stores
If you download TabEagle through Apple’s App Store, Google Play, or another app marketplace, your use may also be subject to that marketplace’s terms. The marketplace provider is not responsible for providing support or maintenance for TabEagle unless required by applicable law.
11. Subscriptions and Fees
Some TabEagle features may require payment of subscription fees or usage fees. Pricing, billing intervals, included features, and cancellation terms will be disclosed at the time of purchase.
Unless otherwise stated, fees are non-refundable except where required by law or expressly provided by the applicable app store or payment provider.
We may change pricing or features by providing notice where required.
12. Cancellations
You may cancel paid services through the method used to purchase them. If you subscribed through an app store, cancellation and refund requests may need to be handled through that app store.
Cancelling a subscription may stop future billing but does not necessarily delete your account or historical records.
13. Support
Support is available at: support@truebirdglobal.com
We aim to respond to support requests within a reasonable time but do not guarantee a specific response time unless separately agreed in writing.
14. Service Availability
We work to keep TabEagle available and reliable, but we do not guarantee uninterrupted, error-free, or secure operation. TabEagle may be unavailable due to maintenance, updates, outages, security issues, third-party failures, or events outside our control.
15. Intellectual Property
TabEagle, TrueBird, our software, designs, logos, trademarks, content, and technology are owned by TrueBird or our licensors. These Terms do not transfer ownership of our intellectual property to you.
You may not copy, modify, distribute, sell, lease, or create derivative works from TabEagle except as permitted by these Terms.
16. Feedback
If you provide suggestions, ideas, or feedback, you grant TrueBird the right to use them without restriction or compensation.
17. Disclaimer of Warranties
TabEagle is provided “as is” and “as available.” To the fullest extent permitted by law, TrueBird disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and reliability.
We do not warrant that TabEagle will meet your requirements, increase collections, prevent disputes, prevent chargebacks, or ensure payment.
18. Limitation of Liability
To the fullest extent permitted by law, TrueBird will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, payment disputes, chargebacks, delayed payouts, customer claims, or reputational harm.
To the fullest extent permitted by law, TrueBird’s total liability for any claim will not exceed the greater of:
(a) the amount you paid to TrueBird for TabEagle during the three months before the claim arose; or
(b) $100.
Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.
19. Indemnification
You agree to defend, indemnify, and hold harmless TrueBird, its owners, officers, employees, contractors, service providers, and affiliates from claims, damages, liabilities, losses, costs, and expenses arising from:
- Your use of TabEagle;
- Your invoices, payment requests, photos, attachments, messages, or User Content;
- Your goods, services, customers, taxes, refunds, chargebacks, or disputes;
- Your violation of these Terms;
- Your violation of law or third-party rights.
20. Suspension and Termination
We may suspend or terminate your access to TabEagle if we believe you violated these Terms, created risk for TrueBird or others, misused the service, failed to pay fees, or used TabEagle in a prohibited or unlawful manner.
You may stop using TabEagle at any time. Account deletion may be requested through the app, if available, or by contacting support@truebirdglobal.com.
21. Changes to These Terms
We may update these Terms from time to time. If changes are material, we may provide notice through the website, app, or email. Continued use of TabEagle after updated Terms become effective means you accept the updated Terms.
22. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, unless applicable law requires otherwise.
